DIRECTOR, BUREAU OF CORPORATIONS AND CHARITABLE
ORGANIZATIONS, STATE

DEFINITION:

This is responsible managerial and administrative work in directing the registration and compliance activities of the Bureau of Corporations and Charitable Organizations for the Department of State. The employee in this job plans, develops, directs, and evaluates programs in the registration of for-profit and nonprofit corporations and regulation of charitable organizations, professional solicitors, and fundraising counsels that operate in the commonwealth. Work involves overseeing the imposition of fines and penalties upon noncompliant or fraudulent charitable organizations, solicitors, and fundraisers; coordinating the investigation or audit of charitable organizations suspected of fraudulent activity; developing, implementing, and evaluating operational policies and procedures to ensure the efficient receipt, storage, retrieval, and public disclosure of corporate and charitable organization filings, consistent with statutory requirements; coordinating and directing consumer education and outreach initiatives; and participating in speaking engagements before consumer groups, professional organizations, the media, and the public. Work also involves participating in the review and recommendation of legislative changes impacting corporations and charitable organizations; serving as a liaison with executive staff members, legal counsel, and legislators; providing business requirements and feedback to information technology staff responsible for the bureau’s system development and maintenance; and coordinating with other agencies concerning violations of law that are beyond the purview of the Department of State. Supervision is exercised over a professional, administrative, and clerical staff. Work is performed with considerable independence to determine bureau goals and standards under the general direction of a deputy secretary which reviews work through conferences and reports for effectiveness and adherence to statutory requirements.

EXAMPLES OF WORK:

Directs the administration and enforcement of the Solicitation of Funds for Charitable Purposes Act and the Institutions of Purely Public Charity Act.

Directs the administration of the Business Corporation Law and ensures bureau compliance with the Uniform Commercial Code Modernization Act. Develops bureau strategic and operational plans, program goals, and objectives within the bounds of established statutory requirements.

Plans and directs the work of staff in the registration of charitable organizations, professional solicitors, and fundraising counsels and in the processing and maintenance of associated records filed by these entities, such as financial statements, solicitation notices, and contracts.

Plans and directs the work of staff in the registration of corporations and the processing and maintenance of records filed by these corporations, such as Uniform Commercial Code financing statements and decennial reports.

Oversees the public disclosure of corporation and charitable organization information through the fulfillment of requests for data, the publication of reports, and the inclusion of searchable databases on the bureau website.

Reviews operational policies and procedures, identifies opportunities for improvement, develops and recommends changes to the deputy secretary, and implements agreed upon changes.

Monitors proposed state and federal laws for potential impact upon bureau operations, charitable organizations and fundraisers, and the business community.

Coordinates activities to facilitate the auditing and investigation of charitable organizations, professional solicitors, and fundraising counsels for fraudulent activity and deceptive practices.

Oversees the assessment of fines and penalties upon noncompliant or fraudulent charities, solicitors, and fundraisers in accordance with established statutes governing charitable solicitation.

Establishes and maintains effective working relationships with department managers, commonwealth officials, bureau staff, counsel, the Office of Attorney General, and the general public.

Delivers presentations at speaking engagements before a variety of professional organizations, charitable organizations, consumer groups, and government officials. Directs the development of educational initiatives to help inform the charitable giving decisions of consumers.

Monitors the budget of the bureau and allocates resources accordingly.

Performs the full range of supervisory duties.

The employee in this job may participate in the performance of subordinates’ work consistent with operational and organizational requirements.

REQUIRED KNOWLEDGES, SKILLS, AND ABILITIES:

Knowledge of the principles and practices of business administration.

Knowledge of the laws governing charitable registration and solicitation.

Knowledge of the principles and methods of policy and program planning, development and evaluation.

Knowledge of the methods and techniques used in conducting data collection, analysis and evaluation.

Knowledge of office management principles and methods.

Knowledge of the principles and practices of employee supervision.

MINIMUM EXPERIENCE AND TRAINING:

Six years of professional managerial or staff work in the administration of a corporation, charitable organization, or public organization that includes three years of supervisory experience, and a bachelor’s degree;
