Position Purpose:
Describe the primary purpose of this position and how it contributes to the organization’s objectives. Example: Provides clerical and office support within the Division to ensure its operations are conducted efficiently and effectively. 

This is a beginning level position that is responsible for examining and auditing broker-dealer firms and investment advisers registered or required to be registered in Pennsylvania to determine compliance with federal, state and other regulatory requirements and ensure investor protection. As part of the examination process, this position may conduct investigations of entities and individuals who are offering or selling securities in Pennsylvania which may be in violation of the registration requirements of the Pennsylvania Securities Act of 1972.

This position involves working under the guidance of higher-level examiners and/or investigators (“senior staff”), who provide instruction and assistance on work problems. As technical proficiency is acquired, employee in this position is given increased responsibility for independent examination or investigation assignments.

Description of Duties:

Working under the guidance of and assistance from supervisor and/or senior staff:

Assists other agency staff or independently plans and conducts examinations and/or investigations of Pennsylvania registered investment advisers, and their representatives, broker-dealers and their agents (“Registrants”); as well as individuals and entities that are not registered, licensed or exempt, offering or selling securities in some instances.

In determining compliance, performs examinations and reviews filings made by the registrant to determine the type and kind of business the registrant is conducting, the identities of the principals of the firm, company background and investor complaints to prepare for the on-site examination.

Interviews the registrants and registrant’s principals; inspects its books and records; compiles data from blotters, journals, ledgers and other relevant documents; examines bank statements, sales practice procedures, supervisory procedures, investment advice plans, advertising brochures, fee schedules and solicitation materials, cash receipts journals, securities transfer logs, net capital computations, and other data.

Confers with supervisor and/or assigned senior staff to develop examination schedules and to analyze examination and investigative issues. Prepares and then submits detailed examination and investigative memos, reports and other related documents to supervisor and/or assigned senior staff. Drafts deficiency letters to registrants outlining noncompliance with statutory requirements.

Responsible for receiving and processing oral and written complaints against broker-dealers; investment advisers; agents and associated persons; as well as individuals and entities who are not registered, licensed or exempt, offering or selling securities in some instances. This process may involve communicating with the parties in an attempt to mediate. In appropriate situations, will recommend referral of a matter to other Department staff or another state or federal regulatory agency.

Testifies, when required, at administrative hearings or other legal proceedings.

Provides assistance concerning broker-dealer and investment adviser related investigations to agency personnel.

Assists in the preparation of subpoenas and justification for subpoena for submission to the supervisor.

Perform Licensing examiner duties if assigned.

Performs other duties as assigned.

Examiner contacts their supervisor and/or assigned senior staff for guidance or interpretation of statues and regulations. Unusual or complex issues are brought to the attention of the supervisor and/or assigned senior staff.
